Spring Saddle Club Bylaws
(Amended 2009)
The
Thayer-Mammoth Spring Saddle Club is a Nonprofit Equestrian Club, incorporated in October 1993 under the Missouri Nonprofit
Corporation Act.
PURPOSE
The
purpose of the Club is to promote good horsemanship, fun and recreation for the adults and youth of the community, there by
creating interest in horseback riding and other horse related events.
MEMBERSHIP AND DUES
Anyone
is eligible to become a member of the club with their paid membership. A family membership shall consist of one (1) or two
(2) adults and their children under eighteen (18) years of age, residing at home.
DUES:
Dues shall be set annually by the majority vote of the Club. Dues shall be due and payable January 1st.
To stay in good standing each member shall not default in payment for a period of two (2) months past this date. Final Notice
on dues will be sent out by March 1st notifying that the deadline for dues is March 31st, if not received
on the 1st of April, their membership will be removed. Membership dues as of January 2009 will be $12.00 single
and $18.00 for a family.
REMOVAL: Any member may be expelled at anytime by a majority vote of
the Club for actions unbecoming of a club member.
MEETINGS
There
shall be a minimum of ten (10) meetings during a fiscal year. To conduct a meeting there must be at least two (2) officers
or board members, one (1) chairperson or board member along with paid members present to qualify as a quorum. There will also
be a board meeting each month, time and date to be determined by the President. At the first meeting of the fiscal year, proposed
changes in the Bylaws, if any needed shall be approved or denied by majority vote of the members in attendance and in good
standing with the Club. Each paid member present at the meeting shall receive a copy of the Bylaws to read. Changes in the
Bylaws are to be nominated at the January meeting and seconded, then voted on at the February meeting.
MANAGEMENT
The
board shall consist of a; President, Vice President, Secretary Treasurer, along with two (2) Board Members and any Chairpersons
deemed necessary during the year. All officers must attend seven (7) meetings through the year.
OFFICERS’ DUTIES
PRESIDENT: The President shall preside at all club meetings and shall carry out directions to the Officers.
VICE PRESIDENT: The Vice President shall preside at all meetings in absence of the President, and shall succeed the President
in the event that the office is vacated. The Vice President shall act as Sergeant of Arms at all meetings.
SECRETARY TREASURER: The Secretary Treasurer shall keep the minutes at all meetings and submit a written report at the next
meeting, and prepare and mail all notices and correspondence as required. Secretary Treasurer shall collect and mail from
the Post Office. The Secretary Treasurer shall collect dues, sponsorships and
all other money and make all deposits. Secretary Treasurer shall pay all bills of the Club and keep an account of all funds
and report at each meeting an update of all accounts and keep an updated report of all members in good standing.
BOARD MEMBERS: There shall be two (2) Board Members appointed by the
President and voted on by the Club Members in attendance on a yearly basis. They shall substitute for absent Officers or Chairpersons
at meetings and carry out duties assigned by the President. They shall attend board meetings and shall advise Officers as
needed.
STANDARD COMMITTEE
The
Chairperson of each Committee shall be picked by the Officers or voted on by the Club members. The Chairperson may appoint
members to the Committee or take volunteers. The Chairperson may at anytime after talking with the Officers, remove anyone
from the Committee for just cause. The Chairperson shall submit to the Club at each meeting a report on their Committee. All Chairpersons and Committee persons shall be members in good standing as
set forth in the Bylaws. Vacancies in a Committee shall be filled by the Chairperson of that Committee.
The
Committee shall not operate to relieve any officer of any responsibility imposed upon him by these Bylaws.
The
Chairperson shall report any scheduled events to the Secretary Treasurer for Newsletters and Website.
All
Chairpersons are responsible for their practical area, such as; RODEO, TRAILRIDE, GROUNDWORK etc.
EVENT ACCOUNTABILITY
After
each event, there must be at least three (3) members in good standing, one (1) of which must be an officer, to count and tally
the proceeds and turn them over to the Secretary Treasurer along with any receipts for expenses for that event. A balance
sheet for each event will be filled out by the event Chairperson and retained by the Secretary Treasurer.
EXPENDITURES
All
expenditures must be brought before the Club and approved by majority vote of members in good standing and in attendance.
Common reoccurring expenses such as utilities and food for events may receive a blanket approval for the year. Individual
projects may also receive a blanket approval up to a set amount.
ELECTIONS
Members
must have attended four (4) or more meetings in the past year to be eligible for office. Nominations for eligible officers
shall be opened at the November meeting and will remain open until voting commences. All adult members in attendance and in
good standing shall receive a ballot to be used for voting at the December meeting. Officers will be elected by majority ballot
count. Officers will take their position at the January meeting.
VOTE
Members
eighteen (18) years of age and older, in good standing for the past year shall have one (1) vote on each Officer and Committee
Chairperson to be elected. Should no Chairpersons be elected, they may be appointed by the Board as needed. Board Members
are to be appointed by the President and approved by the Club.
VACANCIES
Vacancies
at anytime during the year shall be filled by a majority vote of the Club in attendance, excluding the President.
CANCELLATIONS
In
the event of a dissolution of the Club or abandonment of activities, provisions shall be made to pay all incurred debts and
liabilities remaining, and to distribute the remaining assets to other Organizations, whose tax status has been established
under Section 501 © (3) of the Internal Revenue Code of 1994 or any amending status to be used in such manner as will best
accomplish the general purposes of which the Club is organized.
GENERAL
All
members agree to serve as needed to help with grounds maintenance. Each member agrees at all times to be courteous and respectful
of all horsemen involved with the Club and the events of the Club. Each member shall also agree to be bound and assume risk
of using trails, facilities and the activities of the Club and further agree that the Officers and or Chairperson shall not
be held responsible or liable for any claims, damages, or liabilities pertaining in any way to the functions or activities
of the Club.
